Miscellaneous Terms
Offer of Products
Nothing on this site shall be treated as putting forth an offer to purchase by P.C. Consulting, but is merely an invitation to you to make an offer.
Choice of law
The Terms and Conditions and this site shall be interpreted and governed exclusively by the laws of the province of Ontario and the laws of Canada applicable therein, without giving effect to their conflict of laws principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods as amended, replaced or re-enacted from time to time. You expressly consent to the exclusive forum, jurisdiction, and venue of the courts of Ontario and/or the Federal Court of Canada in Ontario, or any other judicial district or jurisdiction as P.C. Consulting may determine, in any and all actions, disputes, or controversies relating hereto.
Entire Agreement
Unless otherwise specified herein, these Terms and Conditions constitute the entire agreement between you and P.C. Consulting with respect to the use of this site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and P.C. Consulting. A printed version of these Terms and Conditions and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms and Conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
Waiver
No waiver by P.C. Consulting of any breach or default hereunder, or failure to enforce any terms herein shall be deemed to be a waiver of any preceding or subsequent breach or default.
Invalidity
If any provisions contained herein shall be determined to be void, invalid, or otherwise enforceable by a court of competent jurisdiction, then the invalid or unenforceable provision will be deemed to be superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the provisions shall continue in effect.
Limitation Period for Commencing Action
Any cause of action arising out of or related to the use of this site must commence within six (6) months after the cause of action arose, otherwise, such cause of action is permanently barred.
Titles and Headings
The section titles within are solely used for the convenience of the parties and have no legal or contractual significance.
Term and Termination
P.C. Consulting may terminate this Agreement at any time and may do so immediately without notice, and accordingly deny you access to the site, if in P.C. Consulting‘s sole discretion you fail to comply with any term or provision of this Agreement. Upon any termination of the Agreement with P.C. Consulting, you must promptly destroy all materials downloaded or otherwise obtained from this Site, as well as all copies of such materials, whether made under the terms of use or otherwise.
